As a President's Council member, you may have access to confidential information about our clients, programs, and operations. All such information must be kept strictly confidential in accordance with our organizational policies and legal requirements.
This Confidentiality Agreement ("Agreement") is entered into as of the date of this form submission by and between Wayfinder Family Services ("Company"), with its principal office located at 5300 Angeles Vista Blvd., Los Angeles, and the person submitting this form (“Recipient”).
1. Purpose:
The Company agrees to disclose certain confidential and proprietary information to the Recipient solely for the purpose of President’s Council membership.
2. Definition of Confidential Information:
For purposes of this Agreement, "Confidential Information" includes all information or material that has or could have commercial value or other utility in the business in which the Company is engaged. Confidential Information includes, but is not limited to, business plans, financial statements, marketing strategies, and other proprietary information.
3. Obligations of Recipient:
The Recipient agrees to the following:
a. Non-Disclosure:
The Recipient will not disclose the Confidential Information to any third party without the prior written consent of the Company.
b. Use of Confidential Information:
The Recipient will not use the Confidential Information for any purpose other than the Purpose without the prior written consent of the Company.
c. Protection of Confidential Information:
The Recipient agrees to take all reasonable measures to protect the confidentiality of the Confidential Information and to prevent unauthorized use or disclosure of the Confidential Information.
d. Return of Materials:
Upon the Company's request, the Recipient will return or destroy all materials containing Confidential Information.
4. Exclusions from Confidential Information:
Confidential Information does not include information that:
a. is or becomes publicly known through no breach of this Agreement by the Recipient;
b. is rightfully received by the Recipient from a third party without breach of any confidentiality obligation;
c. is independently developed by the Recipient without use of or reference to the Company's Confidential Information; or
d. is disclosed with the Company's prior written consent.
5. Term:
This Agreement shall commence on the date first written above and shall continue until the Confidential Information no longer qualifies as confidential or until terminated by either party with thirty (30) days written notice to the other party.
6. No Rights Granted:
This Agreement does not grant any ownership rights or licenses to the Recipient in the Confidential Information.
7. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
8. Remedies:
The Recipient acknowledges that any breach of this Agreement may cause the Company irreparable harm, and therefore, the Company shall be entitled to seek injunctive relief as well as any other remedies available at law or in equity.
9. Entire Agreement:
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter.
